• Project timelines may be impacted by third parties, contractors, suppliers, client delays, regulatory approvals, or unforeseen circumstances
• We cannot guarantee specific financial outcomes, investment returns, or commercial performance
• Clients remain responsible for final business, commercial, legal, and investment decisions

Where services involve coordination with third parties, LW Commercial Group Ltd acts as a consultant, manager, or coordinator unless explicitly stated otherwise in writing.

Clients agree to:

• Provide accurate and complete information
• Respond to requests in a timely manner
• Provide access to relevant stakeholders, sites, or documentation where required
• Ensure they have authority to instruct works or services

Delays caused by incomplete information or client inaction may impact delivery timelines and costs.

LW Commercial Group Ltd may work alongside third-party contractors, consultants, suppliers, or service providers. Unless explicitly agreed otherwise in writing:

• Third parties remain independently responsible for their own work, services, insurance, warranties, and compliance
• LW Commercial Group Ltd is not liable for the acts, omissions, delays, or failures of third parties

Payment terms will be specified within individual agreements, quotations, or invoices. Unless otherwise agreed in writing:

• Invoices are payable within 30 days
• Late payments may result in suspension of services
• We reserve the right to charge statutory interest and recovery costs on overdue invoices in accordance with the Late Payment of Commercial Debts (Interest) Act 1998

All prices are exclusive of VAT unless otherwise stated.

Either party may terminate ongoing services by providing written notice in accordance with any agreed contractual terms. Where no separate written agreement exists:

• Either party may terminate services with 30 days' written notice

LW Commercial Group Ltd reserves the right to terminate services immediately where:

• Payments remain overdue
• The client breaches these Terms
• The working relationship becomes unreasonable, abusive, or commercially unviable

Clients remain liable for all work completed and costs incurred up to the termination date.

To the fullest extent permitted by law:

• LW Commercial Group Ltd shall not be liable for indirect, consequential, or economic losses
• Our total liability relating to any claim shall not exceed the total fees paid for the relevant services giving rise to the claim

This includes, but is not limited to:

• Loss of profits
• Loss of business opportunity
• Project delays caused by third parties
• Contractor performance issues
• Regulatory or planning outcomes
• Investment or property-related losses

Nothing within these Terms excludes liability for fraud, fraudulent misrepresentation, or any liability that cannot legally be excluded.

Both parties agree to keep confidential any commercially sensitive or proprietary information shared during the course of a project or engagement unless disclosure is required by law.

LW Commercial Group Ltd shall not be liable for delays or failures caused by events outside of its reasonable control, including but not limited to:

• Strikes or labour disputes
• Government restrictions
• Supply chain disruption
• Network or infrastructure failures

These Terms & Conditions are governed by the laws of England and Wales. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
